About the Role

We are seeking a 3-4 years experienced Legal Officer with expertise in securitisation and structured finance to join our securitisation team. This is a role for a technically proficient legal professional who will structure, implement, and manage securitisation transactions while ensuring full regulatory compliance across our portfolio.

Key Responsibilities

  • Structure and implement securitisation transactions (onboarding, compartment, issuance…)

  • Draft and negotiate comprehensive transaction documentation including prospectuses, subscription agreements, servicing agreements, and security documents

  • Ensure compliance with Luxembourg securitisation law (Law of 22 March 2004) and EU Securitisation Regulation (EU) 2017/2402

  • Advise on simple, transparent and standardised securitisation requirements and implementation

  • Monitor and ensure compliance of the securitisation structures

  • Collaborate with tax advisors to ensure tax neutrality and meet substance requirements for Luxembourg vehicles

  • Liaise with regulators, external counsel, and stakeholders on complex securitisation matters

  • Stay current with regulatory developments and advise on their impact on existing and future structures

Requirements

  • Law degree

  • Minimum 3-4 years of experience

  • Deep understanding of Luxembourg securitisation law (Law of 22 March 2004) and EU Securitisation Regulation (EU) 2017/2402

  • Strong foundation in contractual law with proven ability to draft, review, and negotiate complex commercial agreements

  • Experience structuring legally enforceable transaction documents and understanding true sale versus security interest distinctions

  • Familiarity with various credit enhancement mechanisms

  • Excellent analytical and problem-solving skills with attention to detail

  • Fluent in English (written and spoken); French is a strong advantage

  • Ability to work autonomously while collaborating effectively with cross-functional teams

  • Experience in fund administration or AIFM structures
