Summary
The Senior Legal Counsel will support the General Counsel in delivering high-quality, commercially focused legal advice across the business. The role ensures compliance with applicable laws and regulations while enabling the company’s strategic objectives.
Operating within a mutual insurance and commercial re/insurance environment, this position spans advisory, transactional, and governance responsibilities, working closely with the General Counsel and executive team to protect the company’s interests and manage legal risk.
Key Responsibilities
Advisory & Legal Support
- Provide expert legal advice on insurance, reinsurance, and corporate matters.
- Partner with underwriting, claims, investments, and other business areas with practical legal solutions.
- Advise on regulatory compliance, data privacy, sanctions, and international cross-border re/insurance requirements, including monitoring developments and supporting implementation of changes.
- Draft, review, and negotiate a range of commercial agreements (broker, outsourcing, service, and technology).
- Advise on tax implications relevant to the company’s international operations in collaboration with General Counsel, CFO and specialist advisors.
- Support strategic planning initiatives (e.g., M&A, joint ventures, restructurings) by coordinating due diligence, drafting supporting documents, and managing workstreams with external advisors.
- Assist with financing and investment-related matters, including document review, tax and regulatory issue-spotting, and managing outside counsel when used.
- Support the General Counsel in significant dispute resolutions, including document management, summarizing advice, preparing Board-level reports, working with senior management and outside counsel.
Governance & Risk Management
- Support the Assistant Company Secretary/Senior Legal Counsel, Corporate and Compliance by drafting or reviewing governance materials, maintaining supporting records, assisting the preparation of Board Governance Committee materials and supporting the various work streams relating to governance throughout the year.
- Assist in maintaining and enhancing company policies, delegated authorities, governance frameworks, and compliance systems, including drafting updates and supporting roll-out and training.
- Assist in identifying and managing legal and regulatory risks, escalating issues in line with agreed thresholds and supporting periodic reporting and follow-up as required.
Skills & Qualifications
- Qualified lawyer with a current practicing certificate or law license.
- 7 years’ PQE in private practice and/or in-house, ideally within insurance or financial services.
- Strong experience in insurance, corporate, and commercial law with regulatory exposure.
- Proven ability to deliver pragmatic, solutions-oriented legal advice.
- Excellent drafting, negotiation, and analytical skills.
- Ability to build credibility with senior stakeholders, underwriters, claims etc. and effectively manage external counsel relationships.
- Skilled at building legal awareness across the organization through effective training and communication on regulatory matters.
- High integrity, sound judgment, and the ability to manage multiple priorities in a regulated environment.
