Legal Counsel Corporate Finance

Exciting new mandate – we are looking for a Legal Counsel with focus on Corporate Finance

If you are an in-house lawyer with a strong background in large-scale corporate finance and cross-border transactions, this could be an exciting next step for you. In this role, you will act as the lead in-house counsel on complex financing transactions at an international industrial group headquartered in Switzerland. Beyond finance, the role covers a broad scope including M&A, corporate governance, group-wide legal policies and complex commercial contracts, working closely with senior leadership across finance, treasury and commercial teams.

Tasks

Are you experienced in:

• Leading on complex finance transactions of significant size, including syndicated loans, private debt, bonds and ECA-backed financing structures?
• Drafting and negotiating finance documentation governed by UK and/or US law, such as loan agreements, term sheets, guarantees and security packages?
• Supporting M&A, corporate restructurings and governance matters across an international group structure?
• Developing and implementing group-wide legal policies and frameworks across multiple jurisdictions?
• Drafting, reviewing and negotiating commercial contracts with end-customers across multiple jurisdictions?

If you also check these boxes, we'd love to connect:

• Qualified lawyer with 10+ years of experience built predominantly in-house at an international business
• Strong track record in corporate finance, capital markets and/or private financing transactions
• Hands-on experience with UK and/or US law governed finance documentation
• Broad legal skill set extending beyond finance into corporate, governance and commercial matters
• Commercial mindset with confidence in engaging with senior stakeholders
• Fluent in English (German is a plus)
